Terms & Conditions for the TFMECU Services.

Effective date: February 6, 2026

1. AGREEMENT

These Terms & Conditions ("Terms") govern your access to and use of the Services. By accessing or using the Services, you represent that you have read, understood, and fully accept these Terms.

2. ELIGIBILITY

You must be legally able to enter into a binding contract where you live. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity.

3. PURPOSE OF THE SOFTWARE

TFMECU is an exclusively technical and informational tool intended for the analysis, editing, comparison, and manipulation of electronic files, including but not limited to electronic control unit (ECU) files.

The Services do not perform any physical modification, are not installed directly in vehicles, and do not guarantee any specific results, performance, reliability, safety, or legal compliance.

4. USER RESPONSIBILITY

Your use of the Services, and any file created, modified, analyzed, or exported through the Services, is at your sole risk and responsibility.

You acknowledge and agree that you:

  • Are fully responsible for the use of the Services and any files generated.
  • Are responsible for verifying the technical correctness, safety, legality, and suitability of any file.
  • Assume full responsibility for any material, mechanical, electronic, environmental, legal, or financial damages resulting from your use of the Services or files created or modified by you.

5. USE IN VEHICLES (OFF-ROAD / CLOSED COURSE)

Important

ECU files and modifications can affect vehicle performance, reliability, emissions compliance, and safety. You assume all risk related to uploading, applying, flashing, or using any file or output obtained through the Services.

The files created, modified, or analyzed using TFMECU:

  • Are not intended for use in vehicles operated on public roads.
  • Are intended exclusively for vehicles used on closed circuits, competition, private tests, or experimental purposes.
  • Must not be used in vehicles subject to public-road circulation unless you fully comply with all applicable laws in the country where the vehicle is used.

6. COMPLIANCE WITH LOCAL LAWS

You are solely responsible for knowing, complying with, and respecting all applicable laws and regulations in the country where the Services are used, including (without limitation):

  • Automotive laws and regulations.
  • Environmental, emissions, type-approval, technical inspection, road safety, and tax requirements.
  • Any rules applicable to the modification of automotive software.

The Developer does not provide legal advice and does not guarantee legal compliance in any jurisdiction.

7. PROFESSIONAL USE AND TECHNICAL KNOWLEDGE

You represent that you have adequate technical knowledge to understand the risks associated with manipulating electronic files and automotive control systems. The Services are not intended for users without technical training or experience.

8. ACCOUNTS, LICENSES, AND ACCESS SHARING

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • Accounts, licenses, credentials, and activations are personal and non-transferable, limited to the authorized user.
  • You must not share accounts or credentials with third parties, use an account on behalf of third parties, resell, rent, lend, or transfer access, or allow access by collaborators, partners, or customers without an express contractual authorization.
  • Unauthorized sharing or licensing violations may result in immediate suspension or permanent cancellation without refund and may expose you to legal liability.

9. CREDITS, PURCHASES, AND PAYMENTS

  • The Services may use virtual credits for access to certain features (for example, file patching or manual requests). Credits are not legal tender and have no cash value.
  • Credit packages and pricing may change at any time. Purchased credits may be subject to expiration or feature limitations where permitted.
  • Payments are processed by third-party payment providers (for example, Stripe) and may be subject to their terms.
  • We do not store full payment card details on our servers. Payment providers may provide us with transaction references and status information so we can credit your account.
  • Refunds, chargebacks, and disputes are handled according to applicable law and the payment provider’s rules. We may suspend access during fraud checks or dispute resolution.

10. ACCEPTABLE USE

You agree not to:

  • Use the Services for unlawful, harmful, or abusive purposes.
  • Use the Services in ways that violate emissions, safety, or vehicle regulations in your jurisdiction.
  • Attempt to disrupt the Services (including probing, scanning, or testing vulnerabilities without authorization).
  • Upload content you do not have rights to share, or that violates third-party rights.
  • Reverse engineer or attempt to derive source code except as permitted by applicable law.

11. FILE PATCHING, MANUAL REQUESTS, AND UPLOADS

The Services may allow you to upload files for processing (for example, ECU files for patching) and to submit manual modification requests.

  • Your content: you retain ownership of files and content you upload. However, you grant us a limited, worldwide license to host, store, reproduce, and process your uploads solely to operate the Services, provide support, and deliver the outputs you request.
  • Your responsibility: you represent that you have all rights necessary to upload the content, and that doing so does not violate any law, contract, or third-party rights.
  • No validation / certification: we do not validate, certify, approve, homologate, or guarantee any file or output (whether used by you or provided to third parties).
  • No guarantee: we do not guarantee that any file processing will be error-free, compatible with your vehicle, or fit for any particular purpose.

12. RESALE, DISTRIBUTION, AND TRANSFER OF FILES

Any resale, transfer, offer, sharing, or distribution of files generated with the Services (whether free of charge or for payment) is performed exclusively under your responsibility.

You assume full responsibility for, including without limitation:

  • Claims from end customers.
  • Damage to third-party vehicles.
  • Non-compliance with applicable laws.
  • Lawsuits, administrative proceedings, fines, penalties, or sanctions.

In no event will the Developer be responsible for disputes between you and third parties resulting from resale or use of files.

13. INTELLECTUAL PROPERTY

All software, code, interface, documentation, logos, and the TFMECU brand are the exclusive property of the Developer or its licensors and are protected by intellectual property laws. Reproduction, distribution, or reverse engineering is prohibited unless expressly authorized in writing or permitted by applicable law.

14. THIRD-PARTY SERVICES

The Services may integrate or link to third-party services. We are not responsible for third-party services and your use of them may be subject to their own terms and policies.

15. DISCLAIMER OF WARRANTIES

The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without any warranty, express or implied, including but not limited to warranties of continuous operation, error-free operation, compatibility with any ECU/vehicle/system, results, performance, reliability, safety, or legal compliance.

The Developer does not warrant that the Services are suitable for any particular purpose.

16. TERMINATION, SUSPENSION, AND CANCELLATION OF ACCESS

16.1. The Developer reserves the right to suspend, limit, or terminate access to the TFMECU software, in whole or in part, at any time and for any reason, with or without prior notice.

16.2. Suspension or termination of access to the TFMECU software does not entitle the user to any compensation, refund, reimbursement, or credit, regardless of the cause, duration, or consequences of such termination.

16.3. The user acknowledges and accepts that termination of access may result in the permanent loss of access to the software, features, files, history, or data, without any liability to the Developer.

17. UNAVAILABILITY, TECHNICAL FAILURES, AND FORCE MAJEURE

17.1. The Developer does not guarantee continuous, uninterrupted, or error-free availability of the TFMECU software.

17.2. The TFMECU software may be temporarily or permanently unavailable, in whole or in part, for reasons including, but not limited to:

  • Scheduled or unscheduled maintenance.
  • Technical or infrastructure failures.
  • Server failures or unavailability.
  • Cyberattacks, intrusions, hacking, or security incidents.
  • Force majeure events or external causes beyond the Developer’s control.

18. EXCLUSION OF LIABILITY FOR UNAVAILABILITY

18.1. Under no circumstances will the Developer, its partners, employees, or collaborators be liable for:

  • Inability to use the TFMECU software.
  • Service interruption or loss of access.
  • Loss of data, files, or history.
  • Direct or indirect damages arising from software unavailability.

18.2. The user expressly waives any claim for compensation, reimbursement, refund, or liability, judicial or extrajudicial, resulting from non-use, unavailability, or failures of the TFMECU software, regardless of the cause.

19. LIMITATION OF LIABILITY

To the maximum extent permitted by law, under no circumstances will the Developer, its owners, employees, partners, or distributors be liable for any:

  • Direct or indirect damages.
  • Mechanical, electronic, or structural damage to vehicles.
  • Loss of data, lost profits, or business interruption.
  • Fines, administrative penalties, or legal proceedings.
  • Environmental damages or non-compliance with emissions standards.

This applies even if the Developer was advised of the possibility of such damages.

20. INDEMNIFICATION

To the maximum extent permitted by law, you agree to indemnify and hold harmless the Developer and its affiliates from any claims, damages, losses, liabilities, costs, and expenses arising out of your use of the Services, resale or distribution of files, account sharing, violation of national or international laws, or violation of these Terms.

21. CHANGES TO THESE TERMS

We may update these Terms at any time and it is your responsibility to review the current version regularly. Continued use of the Services constitutes acceptance of changes. If changes are material, we will take reasonable steps to notify you.

22. PRIVACY

23. GOVERNING LAW AND VENUE

These Terms are governed by Portuguese law. For any dispute arising from their interpretation or application, the courts of the judicial district of the Developer's registered seat shall have jurisdiction, with express waiver of any other.
